1. Intellectual Property Rights

This Intellectual Property Rights (IPR) Policy outlines the principles, responsibilities, and protections related to the ownership and use of intellectual property on the Platform operated by Hire Yoo Infotech Private Limited ("Hire Yoo", "we", "us", or "our") also known as HYI.AI (Virtual Assistance). It applies to all users of the Platform, including but not limited to talents, freelancers, clients, guests, and any third parties who interact with, contribute to, or utilize the services and content offered.

The purpose of this Policy is to:

• Define how intellectual property is protected, managed, and used within the Platform
• Safeguard the rights of all stakeholders including users and the Platform itself by ensuring compliance with applicable laws, including copyright, trademark, patent, and related rights.
• Establish transparent procedures for reporting, investigating, and resolving intellectual property infringements, including compliance with the Digital Millennium Copyright Act (DMCA) and other international IP frameworks.

This Policy forms an integral part of our Platform's Terms of Use and is enforceable under those terms. By using the Platform, users agree to abide by the terms set forth in this Policy.

2. Definition of Intellectual Property

For the purposes of this Policy, "Intellectual Property" (IP) includes all forms of legally protectable rights and assets arising from intellectual or creative activity. This may include, but is not limited to:

• Copyrights: Original works of authorship such as resumes, portfolios, creative projects, written content, designs, and software code.
• Trademarks and Service Marks: Brand names, logos, symbols, trade dress, slogans, and other identifiers used in commerce.
• Patents: Inventions, innovations, or processes that are novel and eligible for legal protection under patent laws.
• Trade Secrets: Confidential business information, algorithms, data sets, client information, internal processes, and know-how not generally known to the public.
• Design Rights: Unique visual or aesthetic aspects of products or materials.
• Domain Names and Digital Assets: Registered website domains and proprietary digital infrastructure.
• User-Generated Content (UGC): Any content created, uploaded, submitted, or shared by users on or through the Platform, including project deliverables, job listings, communication materials, reviews, and feedback.

All users must respect and protect both the Platform's intellectual property and the IP rights of others. Misuse or unauthorized use of any intellectual property is strictly prohibited and may result in legal liability or platform-based disciplinary action.

3. Ownership of Platform IP

All intellectual property rights in and to the Platform, including but not limited to the design, layout, software code, algorithms, features, graphics, logos, branding elements, user interface, and any associated documentation or content (collectively, the “Platform IP”), are the exclusive property of HYI.AI, its licensors, or its affiliates. These materials are protected under applicable copyright, trademark, patent, trade secret, and other intellectual property laws, both in India and internationally.

Users are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform strictly in accordance with its intended use and these Terms and Policies. This license does not grant any ownership rights to users over the Platform IP, and users shall not reproduce, reverse-engineer, modify, distribute, or create derivative works from any part of the Platform IP without express written permission from HYI.AI.

Any unauthorized use, reproduction, or distribution of Platform IP may result in legal action, account suspension, or termination, and users may be held liable for damages or infringement under applicable laws.

4. User-Generated Content (UGC)

Users of the Platform, including talents, clients, and guests, may upload or submit content such as profiles, resumes, portfolios, job postings, project deliverables, messages, or other materials ("User Content"). You retain ownership of any original content you post. However, by submitting such content on our Platform, you grant HYI.AI a limited, non-exclusive, royalty-free, worldwide license to use, display, store, distribute, and reformat your content solely for purposes related to the functioning and promotion of the Platform.

Users represent and warrant that:

• They own or have the legal right to share the submitted content;
• The content does not infringe upon any third-party intellectual property rights;
• Any use of third-party materials (e.g., logos, text, images, or licensed media) is duly authorized.

We do not claim ownership over your original works, but we do require this license to enable functionality like displaying your profile, facilitating collaboration, and delivering services on the Platform. We reserve the right to remove content that violates our policies or applicable laws.

5. Third-Party Content & Responsibilities

Users must only upload content they have the legal right to use. By submitting content, users confirm they:

• Own the content or have obtained necessary rights/licenses
• Are not infringing on any third-party IP rights
• Have properly attributed any third-party material, if applicable

Users found to be in violation may have content removed or accounts suspended.

6. Prohibited Use of IP

The following uses are strictly prohibited:

• Uploading unauthorized or infringing copyrighted works
• Misusing or copying others' content, profiles, or identities
• Posting plagiarized job listings, portfolios, or deliverables
• Using bots or scripts to scrape or duplicate platform content
• Unauthorized use of our or other users trademarks and logos

7. Copyright Infringement Policy

We take copyright violations seriously. If you believe that any content on our Platform infringes your copyright, you may notify us by submitting a formal written notice (a “Takedown Notice”) that includes the following information

• A detailed description of the copyrighted work claimed to have been infringed.
• Identification of the infringing material and its location on the Platform (URL or screenshot).
• Your full legal name, mailing address, telephone number, and email address.
• A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
• A statement under penalty of perjury that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
• Your physical or electronic signature.

Upon receiving a valid notice, we will review the claim and take appropriate action, including removal or disabling access to the allegedly infringing material and, if necessary, terminating the accounts of repeat infringers.

8. Trademarks and Brand Use

All logos, service marks, and trademarks displayed on the Platform are either owned by HYI.AI or their respective owners. Use of any trademark without written permission is strictly prohibited.

If you believe someone is using your trademark inappropriately or without authorization on the Platform, please notify us with the following details:

Trademark Infringement Notice Requirements:

• Your full legal name and contact information
• The exact trademark being infringed
• Registration details of the trademark (if applicable)
• The specific URL or content in question
• A statement that you are the trademark owner or an authorized agent

9. DMCA Takedown Procedure

We comply with the Digital Millennium Copyright Act (DMCA) and other applicable laws.

If you believe your copyrighted content has been used on our platform without permission, you may submit a DMCA Takedown Notice.

Your DMCA Takedown Notice Must Include:

• Your full name and physical or electronic signature.
• Identification of the copyrighted work claimed to be infringed.
• Identification of the infringing content and its location (with URLs or screenshots).
• Your contact details (email, phone, address).
• A statement that you have a good faith belief the use is unauthorized.
• A statement, under penalty of perjury, that the information is accurate and you are the copyright owner or authorized agent.

10. DMCA Counter-Notice Process

If your content was removed and you believe this was a mistake or misidentification, you may submit a Counter-Notice. This enables the restoration of content unless the original complainant seeks a court order

Your Counter-Notice Must Include:

• Your full name and electronic or physical signature
• Identification of the content that was removed and its location before removal (include URL or platform reference).
• A statement, under penalty of perjury, that you believe the content was wrongly removed or misidentified.
• A statement that you consent to the jurisdiction of a federal district court in your location (or in Bengaluru, Karnataka, India, if outside India), and that you will accept service of process from the person who submitted the original DMCA notice.
• Your full contact information, including address, phone number, and email.

Upon receiving a valid counter-notice, we may reinstate the content unless the original complainant files legal action within 10-14 business days.

11. Repeat Infringers

Users who repeatedly upload infringing content or violate IP laws may have their access permanently terminated. We maintain a record of such violations to ensure accountability.

12. Violations & Enforcement

We take intellectual property violations seriously. Depending on the severity of the infringement, we may:

• Remove or disable access to infringing content
• Suspend or permanently delete the user's account
• Refer the matter to legal authorities
• Pursue legal remedies or compensation for damages
